These Terms of Service ("Terms") form the agreement between you and VinAssessment ("VinAssessment", "we", "us") covering your access to and use of our websites, applications, APIs, data feeds, and the MCP server (collectively, the "Services"). By creating an account, paying for a subscription, or accessing any Service, you agree to these Terms. If you are accepting on behalf of a dealership or company, you confirm you have authority to bind that organization.
1. Acceptance & eligibility
You must be at least 18 years old and able to enter a binding contract. You may not use the Services if you are barred from doing so under the laws of the United States or any other applicable jurisdiction.
2. The services we provide
VinAssessment provides dealer-focused tools and data, including but not limited to:
- Inventory analytics — live price band per VIN, days-on-lot tracking, competitor map, re-price alerts.
- Vehicle History Reports — sales history, auction photo archive, accident records, title brands.
- Window Sticker generation — original Monroney-style stickers from any VIN.
- Chrome Extension — hover VIN lookup overlay on Cars.com, AutoTrader, Craigslist, Facebook Marketplace, and similar.
- REST API and MCP Server — programmatic access to our automotive dataset.
- Data Sets — bulk historical data delivered on a custom schedule.
Features available to you depend on the plan you subscribe to. We may add, modify, or retire individual features at any time, but we will not materially reduce the core functionality of your plan during a paid period without notice.
3. Accounts, seats, and access
You are responsible for the activity that occurs under your account, including the actions of every team member, contractor, or seat you assign. Keep credentials confidential. Notify us promptly at [email protected] if you suspect unauthorized access.
A "seat" is one named human user. Sharing a single seat across multiple people (including via shared credentials) is not allowed. Plans with a defined seat count enforce that count automatically; you can add seats via the Extra Dealer Seat add-on.
4. Subscriptions, billing, and trial
Most dealer plans include a 14-day free trial with no credit card required to start. After the trial, plans renew on the billing cycle you selected (monthly or annual). Annual billing is invoiced once for the full year at a 20% discount and renews automatically unless you cancel before the renewal date.
You can cancel a monthly plan at any time; cancellation takes effect at the end of the current billing period. Annual plans cancel at the next renewal date — we do not pro-rate the unused portion of an annual term, but you keep full access through the term you paid for.
Refund policy: if something is broken on our side and we cannot fix it within a reasonable window, we will refund the affected billing period. We do not offer general "I changed my mind" refunds — the 14-day trial is the time to decide whether the platform fits your dealership.
5. Acceptable use
You agree that you will not, and will not allow others to:
- Resell, sublicense, or redistribute raw data pulled from the Services except as expressly permitted by your Data Sets agreement.
- Reverse-engineer, decompile, or attempt to extract source code from any part of the Services.
- Scrape, mass-download, or otherwise bulk-extract data outside the documented rate limits of your plan.
- Use the Services to violate any law, including consumer-protection, anti-spam, fair-credit-reporting, or motor-vehicle disclosure laws.
- Misrepresent vehicle history, mileage, or condition based on our reports — our reports are inputs to your decisions, not certified records.
- Interfere with or disrupt the integrity, performance, or security of the Services.
Violations may result in throttling, suspension, or termination of your account. Repeated or severe violations may be reported to law enforcement.
6. Data accuracy disclaimer
Our automotive dataset is sourced from public listings, dealer websites, auction houses, and third-party data partners. We invest heavily in data quality, but no automotive dataset is perfect. Records can be missing, delayed, or inaccurate. You agree to treat the Services as a research and intelligence tool, not as a certified vehicle history. Where a record materially affects a buyer's decision (accidents, title brands, odometer readings), independently verify with the original source, the seller, or a licensed inspector before relying on it.
7. Customer data and content
Any data you upload, generate, or sync into the Services — including your inventory, customer lists, and uploaded VIN lists — remains yours. We process that data only to deliver the Services to you, secure them, troubleshoot issues, and improve product quality. We do not sell your customer or inventory data.
You grant us a limited, non-exclusive license to host, store, transmit, and display your data solely to provide the Services. On termination, we retain reasonable backups for a limited period before secure deletion.
8. Intellectual property
VinAssessment retains all rights, title, and interest in and to the platform, the underlying dataset, the API surface, the MCP server, our brand assets, and any improvements to the Services. Nothing in these Terms transfers ownership to you. Feedback you send us about the product is non-confidential and may be used to improve the Services without obligation to you.
9. Confidentiality
Each side will protect the other's non-public business and technical information with the same degree of care it uses for its own (and no less than a reasonable degree). Customer data, pricing, roadmap items, and security details are confidential by default. Aggregated, de-identified statistics about platform-wide trends are not confidential.
10. Term and termination
These Terms remain in effect while you use the Services. We may suspend or terminate your access immediately for any breach of the Acceptable Use section, non-payment after notice, or activity that risks the security of the platform or other users.
You can terminate by canceling all active subscriptions and discontinuing use. Sections that by nature should survive termination (intellectual property, confidentiality, liability, indemnification, governing law) will survive.
11. Disclaimers and limitation of liability
The Services are provided "as is" and "as available." To the maximum extent permitted by law, VinAssessment disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any specific record is accurate or complete.
To the maximum extent permitted by law, VinAssessment's total aggregate liability arising out of or related to these Terms or your use of the Services is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. In no event are we liable for indirect, consequential, incidental, special, or punitive damages, or for lost profits or lost data, even if we were advised of the possibility.
12. Indemnification
You agree to defend, indemnify, and hold harmless VinAssessment from any third-party claim arising out of your use of the Services in violation of these Terms, your violation of law, or your infringement of any third party's rights.
13. Changes to these terms
We may update these Terms from time to time as the platform and applicable laws evolve. Material changes will be announced at least thirty (30) days before taking effect, by email to the address on file and by a notice on this page. Continued use of the Services after a change goes live constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. The state and federal courts of Delaware will have exclusive jurisdiction over any dispute that cannot be resolved informally. Before filing any formal claim, you agree to contact us in good faith at [email protected] so we can try to resolve the issue directly.
